Prodsy End User License Agreement
Prodsy is free to download and use. Your workspace stays on your devices, and ProdXP never receives it. This agreement sets out what you may do with Prodsy and what we're responsible for.
1. Agreement and definitions
This End User License Agreement (the "Agreement") is between you and ProdXP, LLC, a Georgia limited liability company ("ProdXP," "we," "us"). It covers your use of the Prodsy desktop application. By installing or using Prodsy, you accept this Agreement. If you are accepting for an organization, you confirm you can bind it, and "you" includes that organization. If you don't accept, don't install or use Prodsy.
- "Software" means the Prodsy desktop application, its command-line and local server modes, updates we provide, and its documentation. It does not include Extensions or Third-Party Services.
- "Your Content" means everything you put into or create with the Software, including files, notes, recordings, transcripts, documents, prompts and outputs.
- "Workspace" means the folder or folders on your devices where the Software stores Your Content.
- "Third-Party Services" means services you choose to connect, such as AI model providers, search providers, issue trackers, document tools and email providers.
- "Extensions" means add-ons built with the Prodsy SDK by us or by others.
2. License grant
Subject to this Agreement, ProdXP grants you a free, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control. You may use it for personal purposes and for the internal business purposes of you and your employer or clients.
You may make copies needed to install, run and back up the Software. No fee is charged for this license. We may offer other editions on different terms in the future. Those terms will not reduce your rights to versions you already received under this Agreement.
3. Restrictions
Except as this Agreement or applicable law expressly allows, you may not:
- Sell, rent, lease, sublicense or redistribute the Software, or offer it as a hosted or managed service to others.
- Copy, modify or create derivative works of the Software, other than through Extensions, configuration files and templates the Software is designed to load.
- Reverse engineer, decompile or disassemble the Software, except to the extent the law permits this despite this restriction.
- Remove or alter any copyright, trademark or other notices.
- Bypass or interfere with the Software's permission, update-signature or security features.
- Use the Software to break the law or to infringe or violate anyone's rights, including recording someone without the consent the law requires.
You are responsible for following your employer's or client's policies when you use the Software with their information.
4. Your content and your data
You own Your Content. ProdXP claims no rights in it and receives no license to it under this Agreement.
The Software stores Your Content in your Workspace on your devices. ProdXP does not receive, store or process Your Content. The Software contacts ProdXP only for these purposes:
| Purpose | What is sent | When |
|---|---|---|
| Update check | App version, operating system and channel (stable or beta) | Periodically, unless you turn updates off |
| Update download | Nothing beyond the download request | When an update is installed |
If you choose to send us a diagnostic report, you send it yourself by email. It contains stack traces and version numbers, with file contents, prompts and file paths removed.
You are responsible for backing up your Workspace. Deleting the Software does not delete your Workspace.
5. Third-party services and AI output
The Software can connect to Third-Party Services you choose, using credentials you provide, such as your own API keys or sign-ins. When you connect one, the Software sends the content you direct to that provider, from your device to the provider. Your use of each Third-Party Service is governed by your agreement with that provider. ProdXP is not a party to it, does not control those services, and is not responsible for them.
The Software stores credentials in your operating system's secure storage where available. ProdXP never receives them.
Outputs from AI models, transcription and extraction can be wrong, incomplete or out of date. Review them before you rely on them, share them or act on them. The Software shows sources where it can, and you are responsible for checking them.
6. Extensions and open-source components
Extensions you install run with the permissions you approve in the Software. Extensions made by others are provided by their authors under their own terms. ProdXP does not review, endorse or support them unless we say so in writing, and is not responsible for them. Building Extensions is covered by the separate Prodsy SDK and Extension Terms.
The Software includes open-source components. Each is licensed under its own license, listed in the Software's About screen and in the notices file shipped with it. Where an open-source license gives you rights that conflict with this Agreement, the open-source license controls for that component.
7. Ownership, feedback and trademarks
The Software is licensed, not sold. ProdXP and its licensors own the Software and all rights in it, other than the rights this Agreement grants you.
If you send us feedback or suggestions, you allow us to use them for any purpose without paying you or crediting you. Feedback does not include Your Content. We will not ask you for it.
"Prodsy" and the Prodsy logo are trademarks of ProdXP, LLC or its licensors. This Agreement grants no right to use them, other than to refer to the Software accurately.
8. Updates, term and termination
We may release updates that add, change or remove features. Updates are signed, and the Software checks the signature before installing. You can turn automatic updates off. Each update is covered by this Agreement unless it comes with different terms.
This Agreement lasts until it ends. You can end it at any time by deleting the Software. It ends automatically if you materially breach it and don't fix the breach within 30 days of notice. When it ends, stop using the Software and delete it. Your Content remains yours and stays in your Workspace. Sections 4, 7, 9 and 10 survive termination.
9. Disclaimer and limitation of liability
THE SOFTWARE IS PROVIDED FREE OF CHARGE, "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT THE LAW ALLOWS, PRODXP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. PRODXP DOES NOT WARRANT THAT THE SOFTWARE OR ANY AI OUTPUT WILL BE ACCURATE, ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL PRESERVE YOUR CONTENT.
TO THE MAXIMUM EXTENT THE LAW ALLOWS, PRODXP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS OR BUSINESS, ARISING FROM THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THEIR POSSIBILITY. PRODXP'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED US $100.
Some jurisdictions don't allow some of these exclusions or limits. Where that is the case, they apply only to the extent allowed.
10. General terms
- Export. You will follow US export control and sanctions laws that apply to your use of the Software.
- US government users. The Software is commercial computer software provided with the rights in this Agreement only.
- Governing law. Georgia law governs this Agreement, without regard to conflict-of-law rules. Courts in Thomas County, Georgia have exclusive jurisdiction, unless the law where you live requires otherwise.
- Changes. We may update this Agreement for future versions. The version that came with the Software you installed governs that version.
- Entire agreement. This Agreement is the whole agreement about the Software. If a provision is unenforceable, the rest stays in effect. A failure to enforce a provision is not a waiver.
- Assignment. You may not assign this Agreement without our consent. We may assign it to an affiliate or in a merger or sale of the business.
