Prodsy SDK and Extension Terms
Anyone can build Prodsy extensions for free and own what they build. These terms cover the SDK and the rules every extension follows to keep users' workspaces private. The Prodsy app itself is covered by the Prodsy End User License Agreement.
1. Agreement and definitions
These SDK and Extension Terms (the "Terms") are between you and ProdXP, LLC ("ProdXP," "we," "us"). They apply when you use the Prodsy SDK or build, test or distribute an Extension. By doing so, you accept these Terms. Your use of the Prodsy app itself is covered by the Prodsy End User License Agreement.
- "SDK" means the Prodsy software development kit: libraries, type definitions, command-line tools, templates, sample code and documentation that ProdXP publishes for building Extensions.
- "Extension APIs" means the interfaces the Prodsy app exposes to Extensions at runtime.
- "Extension" means software you create that uses the SDK or the Extension APIs to add sources, exporters, views, MCP tools or recipes to Prodsy.
- "Manifest" means the file in your Extension that declares what it adds and the permissions it needs.
- "User Data" means any content from a user's Prodsy workspace that your Extension can access.
2. SDK license
The SDK's code packages (libraries, type definitions, templates and sample code) are released under the MIT License. A copy ships with each package. You may use, copy, modify and distribute them under that license.
For SDK documentation and the Extension APIs, ProdXP grants you a free, non-exclusive, worldwide, revocable license. It lets you use them to build, test and distribute Extensions for Prodsy. These Terms don't grant any license to the Prodsy app beyond the EULA.
3. Your extensions
You own your Extensions. ProdXP claims no rights in them, other than in the SDK code they include, which stays under its MIT License.
You may distribute your Extensions under any license you choose: open source, proprietary, free or paid. That includes distributing them through your own site, a code host or a package registry. You are responsible for your Extensions, their licenses, their support and their users.
4. What every extension must do
Prodsy users trust that their workspace stays on their machine. Every Extension must keep that promise.
- Declare permissions accurately. The Manifest must list every collection the Extension reads or writes, and whether it uses the network. It must not access anything it didn't declare, or try to get around the permission system.
- Disclose any data that leaves the device. If your Extension sends User Data off the device, its listing and its first-run screen must say what is sent, to whom and why. Never send User Data to anyone the user didn't knowingly choose.
- Never collect credentials. Use the secure-storage APIs in the SDK for any keys or tokens. Never log them or send them to you.
- Handle data lawfully. Follow privacy, security and recording-consent laws that apply to the data your Extension handles. Publish a privacy notice if the Extension collects anything.
- No harmful behavior. No malware, hidden functions, ads injected into Prodsy, cryptocurrency mining, or behavior that misleads users about what the Extension does.
- Fix serious security problems promptly after you learn of them, and tell affected users when appropriate.
5. Names and logos
You may say your Extension is "for Prodsy" or "works with Prodsy" to describe what it does. You may not:
- Use "Prodsy" as the first word of your Extension's name, or in your own product, company or domain name.
- Use the Prodsy logo, except in the "works with" badge we publish, used as provided.
- Suggest that ProdXP made, endorses or supports your Extension, unless we've agreed to that in writing.
6. Blocking, listings and API changes
ProdXP may warn users about, disable or block an Extension in Prodsy if it breaks Section 4, puts users at risk or breaks the law. Where we can, we will tell you first and give you a reasonable chance to fix the problem. If ProdXP runs an extension directory, listing in it is optional and may come with its own review rules.
The SDK and Extension APIs will change. We will version them, mark deprecations in release notes, and aim to give at least 90 days' notice before removing a stable API. Experimental APIs may change without notice.
7. Feedback and independent development
If you send us feedback about the SDK or Prodsy, we may use it for any purpose without paying you or crediting you. These Terms create no obligation for either of us to build, support or promote anything. ProdXP may build features or extensions similar to yours, as long as we don't use your code without your permission.
8. Disclaimer, liability and indemnity
THE SDK AND EXTENSION APIS ARE PROVIDED FREE OF CHARGE, "AS IS," WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT THE LAW ALLOWS. PRODXP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST DATA, PROFITS OR BUSINESS, ARISING FROM THESE TERMS. PRODXP'S TOTAL LIABILITY FOR ALL CLAIMS UNDER THESE TERMS WILL NOT EXCEED US $100.
If you distribute an Extension, you will defend and indemnify ProdXP against third-party claims arising from that Extension or your breach of Section 4.
9. Term and general terms
These Terms apply while you use the SDK or distribute an Extension. ProdXP may end your rights under them if you materially breach Section 4 and don't fix the breach within 30 days of notice. Ending them does not affect copies of the SDK you received under the MIT License, or your ownership of your Extensions. Sections 3, 7 and 8 survive.
Georgia law governs these Terms, without regard to conflict-of-law rules. Courts in Thomas County, Georgia have exclusive jurisdiction, unless the law where you live requires otherwise. We may update these Terms. Updates apply to SDK versions released after them. These Terms are the whole agreement about the SDK. If a provision is unenforceable, the rest stays in effect.
